  • "You," "User" — any person or legal entity accessing the Website or engaging our services.
  • "Services" — the legal advisory and compliance services described on the Website, including Consumer Contract Compliance Review, Product Labeling & Advertising Advisory, and Regulatory Investigation & Consumer Dispute Response.
  • "Engagement" — a formal agreement to provide Services, confirmed by an engagement letter or written agreement between Sanam Pact and the client.

05 Enquiries and Communications

When you submit an enquiry through our contact form or contact us by telephone or email, you are inviting us to consider whether we are in a position to assist you. A response to your enquiry does not constitute an acceptance to act or an engagement of services.

Before we can advise you, we may need to carry out a conflict check and gather additional information about your matter. We appreciate your understanding that this process may take a short period of time.

Please do not include sensitive, confidential, or legally privileged information in your initial enquiry. We are not able to treat communications as privileged until a formal engagement has been established.

06 Engaging Our Services

A formal engagement with Sanam Pact is established only when:

  • We have confirmed in writing that we are able to act for you on a specified matter
  • You have received, reviewed, and signed an engagement letter
  • Any required advance payment or retainer has been received

The engagement letter will specify the scope of the services, the applicable fees, the engagement team, and any conditions particular to your matter. These Terms & Conditions are incorporated by reference into every engagement letter.

07 Scope of Legal Services

Our services are provided in relation to Thai consumer protection law and regulatory compliance. Unless expressly agreed in writing, our advice:

  • Covers Thai law only and does not constitute advice on the laws of any other jurisdiction
  • Applies to the specific matter described in the engagement letter
  • Reflects the law and regulatory guidance as it stands at the time of advice; we are not obliged to update advice following subsequent legal or regulatory changes unless separately instructed

We will provide advice with reasonable skill and care in accordance with applicable professional standards. The quality of our advice may be affected by the accuracy and completeness of the instructions and information you provide.

08 Fees and Payment

Service fees are as set out in the engagement letter. Published pricing on this Website represents indicative starting rates and may vary depending on the complexity and scope of a particular matter.

  • Fees are quoted in Thai Baht (฿) and are exclusive of value-added tax (VAT) where applicable
  • Invoices are due for payment within 15 days of the invoice date unless otherwise agreed in the engagement letter
  • Disbursements and third-party expenses incurred on your behalf will be billed at cost
  • We reserve the right to suspend work if invoices remain unpaid beyond the agreed payment terms, following reasonable notice to you

If you have questions about fees at any stage of an engagement, we encourage you to raise them with us promptly. We aim to keep fee discussions straightforward and transparent throughout.

09 Confidentiality

We treat all information provided by clients in connection with an engagement as confidential. We will not disclose client information to any third party without your prior consent, except where we are required to do so by law, regulation, or a competent authority, or where disclosure is necessary for the performance of our services (for example, to a barrister or expert engaged on your behalf).

Confidentiality obligations continue after the conclusion of an engagement and are not limited in time, except where the information becomes publicly known through means other than a breach of this obligation.

Please note that legal professional privilege may apply to communications between Sanam Pact and its clients in the context of legal advice. The availability and scope of privilege is a matter of Thai law and will depend on the nature of the communications involved.

10 Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded or limited under applicable Thai law.

To the extent permitted by law, our total aggregate liability to you arising out of or in connection with our services — whether in contract, tort, or otherwise — shall not exceed the total fees paid to us in connection with the specific matter giving rise to the claim in the 12 months preceding the event giving rise to the claim.

We are not liable for:

  • Indirect, incidental, or consequential losses arising from use of the Website or from our services
  • Loss or damage arising from information on the Website being incomplete or out of date
  • Actions taken or not taken by you in reliance on information on the Website without a formal engagement
  • The content or practices of third-party websites linked from this Website

11 Third-Party Links

This Website may include links to third-party websites for your convenience. These links are provided for informational purposes only. Sanam Pact does not endorse, control, or accept responsibility for the content, practices, or availability of any third-party website. Visiting a linked website is at your own discretion and risk.

12 Termination of Engagement

You may terminate an engagement at any time by providing written notice to us. We will render a final invoice for work completed up to the date of termination and return any client materials or documents held on your behalf in a timely manner, subject to settlement of outstanding fees.

We may terminate or withdraw from an engagement in circumstances including:

  • Non-payment of fees after reasonable notice
  • A conflict of interest arising that cannot be managed appropriately
  • Instructions that would require us to act contrary to applicable professional or ethical standards
  • Material change in the scope or nature of the matter without a revised engagement letter

Where we withdraw from an engagement, we will give you reasonable notice and, where practicable, take steps to minimise disruption to your matter.

13 Governing Law and Dispute Resolution

These Terms & Conditions and any engagement between you and Sanam Pact are governed by and construed in accordance with the laws of the Kingdom of Thailand.

In the event of any dispute arising out of or in connection with these Terms or an engagement, the parties agree to first attempt to resolve the matter through good-faith discussion. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts of Thailand.

14 Changes to These Terms

We may revise these Terms & Conditions from time to time. The revised version will be posted on this page with an updated revision date. Your continued use of the Website after changes are posted will constitute your acceptance of the updated terms. Engagements already underway will be governed by the terms in place at the time the engagement letter was signed, unless both parties agree in writing to updated terms.
